MANILA, Philippines – The Securities and Exchange Commission (SEC) has extended the validity of bond shelf registration offerings. This move aims to provide “greater flexibility and efficiency” for companies tapping the capital markets amid volatile market conditions.
Under SEC Memorandum Circular No. 12 Series of 2025, Rule 8.1.2 of the 2015 Implementing Rules and Regulations has been amended to reflect this change. The extension is expected to benefit issuers by allowing more time to access funding through bond offerings without the need for repeated registration procedures.
